Guest Release *

“Program”: the audio production and/or publication currently entitled “Brand the Interpreter”. This release (“Release”) is made to allow Mireya Perez, (“HOST”) and its parents, affiliates, subsidiaries, licensees, successors and assigns to include You (“Guest”) as a guest/participant in the Program and to make use of Guest’s appearance as set forth herein. 1. Guest agrees to share their story with Mireya Perez. Guest agrees to be available for up to 1.5 hours to allow HOST to interview Guest for the Program. 2. The Guest does hereby agree that the HOST and each of its affiliates and assigns (including, without limitation, program sponsors, advertisers, and marketing partners) may tape, photograph, and record Guest and record Guest’s voice, conversation, and sounds, and any and all other activity and results thereof (including, but not limited to, quotes, paraphrases, and/or work[s] that Guest may create in any recording) for use in connection with the Program and as permitted herein (Guest’s “Participation”). 3. Guest hereby irrevocably agrees that the HOST may use and authorize others to use all or any part of Guest’s name, voice, likeness (including any still photographs), biographical or personal information, statements and/or any other material that may have been provided to the HOST (collectively, “Likeness”). 4. Guest further acknowledges and irrevocably agrees that HOST may edit Guest’s Participation and/or Likeness in its sole discretion; incorporate same into the Program, other sponsored or unsponsored program(s) and/or other materials set forth herein; and use or authorize the use of Guest’s Participation and/or Likeness in the Program, and for the production, exhibition, advertising, publicity, promotional and commercial tie-in purposes, exploitation and/or use in connection with the Program (or any portion thereof), other program(s), and/or any other works based upon the Program, all allied ancillary and subsidiary rights therein and thereto, as well as in or in connection with promotional materials for the HOST and its programming services and/or activities and those of Guest’s affiliates and assigns, and for use in all media (now known or hereafter devised) throughout the universe in perpetuity. 5. Due to the nature of the possible topics discussed, Guest accepts and agrees that any personal and/or sensitive information recorded by the HOST may be published and disseminated to the general public. 6. Guest agrees that his/her Participation in the Program is entirely at his/her own risk and Guest accepts full responsibility for his/her decision to participate in the Program. 7. Guest hereby releases and discharges HOST from any and all liability arising out of or in connection with the making, producing, reproducing, processing, exhibiting, distributing, publishing, transmitting by any means or otherwise using the above-mentioned production. 8. Guest agrees to indemnify the HOST to make whole and hold harmless HOST, its officers and directors, employees and its affiliates and their respective successors and assigns and each other person, if any, who controls any thereof, against any loss, liability, claim, damage and expense whatsoever (including, but not limited to, any and all expenses whatsoever reasonably incurred in investigating, preparing or defending against any litigation commenced or threatened or any claim whatsoever) arising out of or based upon any false representation or warranty or breach or failure by the undersigned in the Participation and content contained in the Program. 9. Guest understands and agrees that he/she shall receive no compensation for appearances on and Participation in the Program. Host Responsibilities & Further Release Terms 1. Guest does hereby acknowledge that HOST is the exclusive owner of all rights (e.g., copyright, droit moral, etc.) in and to the Program, and the recording(s) thereof, for all purposes; and that HOST has the unfettered right, among other things, to use, exploit and distribute the Program, and Guest’s performance as embodied therein, together with guest’s name, sobriquet, biographical sketch, photograph or likeness (including, without limitation, any photographs or other material provided to HOST by Guest), in any and all media or formats, throughout the world, in perpetuity. Any materials prepared in the course of production and distribution of the Program (“Materials”) become property of HOST, and HOST shall have the sole and exclusive right to use, exploit, and distribute such Materials throughout the world, in perpetuity. 2. Guest understands that HOST shall have no obligation to produce, use or exhibit the Program or Guest’s and/or Likeness. 3. Guest also acknowledges that he/she has no right of inspection or approval of the Program, his/her Participation and/or Likeness or any use thereof, and waives all such rights. Guest understands that the Program’s topic, situations, content and participants may be different than he/she expects. In no event shall Guest have the right to enjoin, restrain or interfere with the development, production, distribution, exhibition and/or use of the Program, Guest’s Participation, and/or Likeness and/or to seek any injunctive or equitable relief.
